Please read these terms carefully before using Capital and its services.

1. Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of the website located at getcapital.app, together with all related pages, features, applications, and services (collectively, the “Service”) operated by Capital (“Capital,” “we,” “us,” or “our”). By accessing the Service, connecting a digital wallet, participating in the $CAPITAL token presale, or using the vendor marketplace, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and legally permitted to use blockchain-based products and digital assets to use the Service. You represent that you are not located in, organized under the laws of, or a resident of any jurisdiction where the use of the Service, the purchase of $CAPITAL, or participation in the marketplace is prohibited or restricted by applicable law, sanctions, or regulation. You are solely responsible for determining whether your use of the Service is lawful in your jurisdiction.
3. Description of the Service
The Service includes, among other things:
- A token presale through which eligible users may acquire $CAPITAL, an ERC-20 utility token deployed on the Base network.
- A vendor marketplace where approved vendors can list products and services, upload product images, and manage a storefront.
- Wallet connectivity via providers such as MetaMask, Coinbase Wallet, and WalletConnect to enable on-chain transactions.
- Informational dashboards, staking previews, and related ecosystem features.
We may add, modify, suspend, or discontinue any part of the Service at any time without notice. Certain features are labeled as “preview,” “coming soon,” or similar and may not be fully functional.
4. Wallet Connection and Transactions
The Service is non-custodial. We do not hold, control, or have access to your private keys, seed phrases, or the assets in your wallet. You are solely responsible for securing your wallet credentials and for all activity that occurs through your connected wallet. Blockchain transactions are irreversible. We cannot cancel, reverse, or refund on-chain transactions, recover lost funds, or assist with transactions sent to incorrect addresses.
5. Token Presale
$CAPITAL is offered and intended solely as a utility token for use within the Capital ecosystem. The presale rate, supply limits, transaction limits, and fees are governed by the smart contract deployed on the Base network. By participating in the presale, you acknowledge that you have reviewed the relevant contract details and understand that token values are volatile and may decline to zero.
$CAPITAL is not offered as, and should not be construed as, a share, security, investment contract, or any instrument that entitles you to profit, dividends, ownership, or governance rights unless expressly stated in official documentation. Nothing on the Service constitutes an offer or solicitation in any jurisdiction where such an offer would be unlawful.
6. Vendor Marketplace
Vendors must register and may be required to verify their identity and eligibility, including by connecting a social media account (such as X/Twitter, TikTok, or Telegram) and providing business information such as a contact email and store details. You are responsible for the accuracy of all information you submit and for ensuring that your listings, product images, and content comply with applicable law and these Terms.
We reserve the right to review, approve, reject, suspend, or remove any vendor account, listing, or content at our sole discretion. Capital is not a party to transactions between vendors and buyers and is not responsible for the quality, safety, legality, or delivery of any goods or services offered through the marketplace.
7. Prohibited Uses
You agree not to use the Service to:
- Violate any applicable law, regulation, or sanctions program.
- Engage in money laundering, terrorist financing, fraud, or any unlawful financial activity.
- Upload or distribute content that is illegal, infringing, deceptive, harmful, or obscene.
- List counterfeit, stolen, or prohibited goods, or misrepresent products or services.
- Interfere with, disrupt, or attempt to gain unauthorized access to the Service, its infrastructure, or other users’ accounts or wallets.
- Use bots, scrapers, or automated means to manipulate the presale, marketplace, or any on-chain mechanism.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
8. Intellectual Property
The Service, including its design, text, graphics, logos, and underlying software (excluding open-source and third-party components), is owned by or licensed to Capital and protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works without our prior written permission. You retain ownership of content you upload but grant us a non-exclusive, worldwide, royalty-free license to host, display, and distribute that content as necessary to operate the Service.
9. Crypto Risk Disclaimer & No Financial Advice
Digital assets are highly speculative and involve substantial risk. The value of $CAPITAL and other tokens may fluctuate significantly and could become worthless. Risks include, without limitation, market volatility, smart contract vulnerabilities, regulatory changes, loss of private keys, network failures, and total loss of funds.
Nothing on the Service constitutes financial, investment, legal, tax, or accounting advice, and no content should be relied upon as such. You are solely responsible for your own decisions and should consult qualified professionals before participating. You participate entirely at your own risk.
10. Third-Party Services
The Service integrates with and relies on third-party services, including Supabase (data storage), Vercel (hosting and analytics), WalletConnect (wallet connectivity), CoinGecko (price data), and identity providers such as TikTok, X/Twitter, and Telegram. Your use of these third-party services may be subject to their own terms and privacy policies. We are not responsible for the availability, accuracy, or practices of any third-party service.
11. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or free of harmful components, or that any defects will be corrected.
12. Limitation of Liability
To the maximum extent permitted by law, in no event shall Capital, its affiliates, or their respective officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or digital assets, arising out of or related to your use of (or inability to use) the Service, whether based on warranty, contract, tort, or any other legal theory, even if advised of the possibility of such damages. To the extent liability cannot be excluded, our aggregate liability shall not exceed one hundred U.S. dollars (USD $100).
13. Indemnification
You agree to indemnify, defend, and hold harmless Capital and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your infringement of any rights of a third party.
14. Changes to These Terms
We may revise these Terms from time to time. The “Last updated” date above reflects the most recent changes. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
15. Governing Law
These Terms are governed by and construed in accordance with applicable law, without regard to conflict of laws principles. Any disputes arising under these Terms shall be resolved on an individual basis, and you waive any right to participate in a class action to the extent permitted by law.
